By accessing or using the Cressida Direct website at cressidadirect.com (the "Site"), registering as a mortgage broker on our platform, submitting a loan application, or otherwise interacting with Cressida Direct, LLC ("Cressida Direct," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately discontinue use of the Site and our services. We reserve the right to modify these Terms at any time. Continued use of the Site after any modification constitutes your acceptance of the updated Terms.

These Terms apply to all visitors, borrowers, mortgage brokers, and any other users of the Site or our services.

Cressida Direct is a direct lender specializing in commercial and non-owner occupied residential investment property financing. Our services include, but are not limited to:

• Providing information about commercial and investment property loan programs
• Accepting and processing loan inquiries and applications through our website and broker portal
• Underwriting, approving, and funding commercial and investment property loans
• Operating a broker registration and loan submission portal for licensed mortgage brokers
• Publishing Market Insights articles and educational content related to commercial lending

Nothing on this Site constitutes a commitment to lend or a guarantee of loan approval. All loan applications are subject to underwriting review, credit approval, and applicable federal and state regulations.

To use certain features of the Site, including the broker portal, you must register for an account. By registering, you represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent
• All registration information you provide is accurate, current, and complete
• You will maintain the accuracy of your registration information and promptly update it as necessary
• You are duly licensed as a mortgage broker in all states where you submit loan applications, where such licensing is required by law
• You will maintain the confidentiality of your account credentials and are responsible for all activity under your account

We reserve the right to suspend or terminate any account that we believe, in our sole discretion, violates these Terms or applicable law.

Mortgage brokers who register for and use our broker portal agree to the following additional terms:

A. Accuracy of Submissions

You represent and warrant that all information submitted through the broker portal — including borrower information, property details, loan amounts, and supporting documents — is accurate, complete, and not misleading. Submission of false, fraudulent, or misleading information is grounds for immediate account termination and may constitute a violation of federal and state law.

B. Borrower Authorization

By submitting a loan application on behalf of a borrower, you represent that you have obtained all required authorizations, consents, and disclosures from the borrower as required by applicable law, including authorization to share the borrower's personal and financial information with Cressida Direct.

C. Compensation

Broker compensation is governed by the terms of any applicable Broker Agreement between you and Cressida Direct. Compensation is contingent upon successful loan funding and is subject to applicable federal and state disclosure requirements. We reserve the right to modify compensation structures with reasonable notice.

D. Exclusivity and Dual Submissions

You agree not to submit the same loan to multiple lenders simultaneously without disclosing this to Cressida Direct. Dual submissions may result in account suspension.

You agree not to use the Site or our services to:

• Submit false, fraudulent, or misleading loan applications or supporting documents
• Violate any applicable federal, state, or local law or regulation, including lending laws, anti-money laundering regulations, and fair lending requirements
• Infringe upon the intellectual property rights of Cressida Direct or any third party
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems, accounts, or data
• Scrape, harvest, or collect data from the Site without our express written permission
• Use automated tools, bots, or scripts to access or interact with the Site in a manner that places undue burden on our infrastructure
• Engage in any conduct that could damage, disable, or impair the Site or interfere with other users' use of the Site
• Use the Site for any unlawful purpose or in furtherance of any illegal activity

All content on the Site — including but not limited to text, graphics, logos, images, loan program descriptions, Market Insights articles, and software — is the property of Cressida Direct, LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for its intended purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Site without our prior written consent.

The Cressida Direct name, logo, and all related marks are trademarks of Cressida Direct, LLC. Nothing in these Terms grants you any right to use our trademarks without our express written permission.

A. No Guarantee of Loan Approval

Information provided on this Site regarding loan programs, rates, LTV ratios, and eligibility criteria is for general informational purposes only and is subject to change without notice. Submission of a loan application does not guarantee approval. All loans are subject to credit approval, property appraisal, title review, and compliance with applicable laws and regulations.

B. No Legal or Financial Advice

Content on this Site, including Market Insights articles, does not constitute legal, tax, financial, or investment advice. You should consult qualified professionals before making any financial or real estate decisions.

C. Site Availability

We do not warrant that the Site will be available at all times, error-free, or free from viruses or other harmful components. We reserve the right to modify, suspend, or discontinue the Site or any feature at any time without notice.

D. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRESSIDA DIRECT, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

Before initiating any legal action, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any dispute within 30 days of receiving written notice.

Cressida Direct, LLC is an Equal Housing Lender. We do not discriminate on the basis of race, color, religion, national origin, sex, disability, familial status, or any other characteristic protected by applicable federal, state, or local law. All loan applications are evaluated based on creditworthiness, property characteristics, and other lawful underwriting criteria.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable Broker Agreement, constitute the entire agreement between you and Cressida Direct regarding your use of the Site and our services.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
